Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Koiva CRM (the “Service”), operated by Koiva Technologies (“Koiva”, “we”, “us”). By creating an account or using the Service, you agree to these Terms on behalf of yourself and the organisation you represent.

1. Your account

You must provide accurate registration details and keep your credentials secure. You are responsible for all activity under your account and for the actions of the users you invite to your workspace. You must be authorised to bind your organisation to these Terms.

2. Your data

You retain all rights to the data you and your users put into the Service (“Customer Data”). You grant Koiva a limited licence to host, process and display Customer Data solely to provide and support the Service. We handle personal data in line with our Privacy Policy and applicable law, including the Kenya Data Protection Act, 2019.

3. Acceptable use

You agree not to:

• use the Service to break the law or infringe anyone’s rights;
• send unsolicited messages, spam, or communications without a lawful basis or consent;
• attempt to access another tenant’s data or probe, scan, or breach our security;
• resell or provide the Service to third parties except as expressly permitted;
• upload malware or interfere with the integrity or performance of the Service.

4. Trials, plans and billing

Paid plans may begin with a free trial. Unless you cancel before the trial ends, the plan you selected begins and recurring fees apply. Fees are stated in Kenyan Shillings (KES) and, except where required by law, are non-refundable. We may change plan pricing on reasonable notice; changes take effect at your next renewal. You are responsible for any applicable taxes.

5. Availability and support

We work to keep the Service available and secure, but we provide it “as is” and do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features with reasonable notice where practical.

6. Termination

You may cancel at any time from your workspace settings. We may suspend or terminate access for material breach of these Terms. On termination you may export your Customer Data for a reasonable period, after which we may delete it in the ordinary course.

7. Limitation of liability

To the fullest extent permitted by law, Koiva is not liable for indirect, incidental, or consequential losses, or for loss of profits, revenue, or data. Our total liability arising out of the Service is limited to the fees you paid us in the twelve months before the event giving rise to the claim.

8. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or in the Service. Continued use after the changes take effect constitutes acceptance.

9. Governing law

These Terms are governed by the laws of Kenya, and the courts of Kenya have exclusive jurisdiction over any dispute arising from them.
